代理商委任

1.1The Principal hereby appoints the Agent as its exclusive commission agent for IRAN for the servicing of specified customers (with reference to Annex A) and the solicitation of new customers for, the Principal’s business (“the Business”), and the Agent hereby agrees to act in that capacity, subject to the terms and conditions of this Agreement. 

委托人特此指定该代理商为伊朗指定客户服务的独家代理商（参照附件A），对于新客户的招揽，根据本协议的条款和条件，代理商同意按照此项法定资格执行。

2.The Agent’s duties

代理商职责

2.1     The Agent shall use its best endeavours to promote and market the Business, and undertakes to exploit intensively the market entrusted to him, also fostering the good reputation and creating confidence between the Principal and customers to mutual advantage.

       代理商应尽最大努力来推广市场业务，并承诺利用赋予它的职责，本着委托人和客户互利的原则来培养良好的口碑和自信。

2.2    The Agent shall promptly notify the Principal of all enquiries which it receives from customers and prospective customers and shall refer the same to the Principal. 

        代理商应将来自客户和潜在客户的一些要求及时通知委托人。

2.3    The Agent shall not be entitled to enter into any contracts on behalf of the Principal, or to bind the Principal in any way.

        代理商不得以委托人的利益进入合同，不得以任何方式直接约束委托人。

2.5    The Agent shall not pledge the credit of the Principal in any way.

       代理商不得以任何方式低压委托人信贷

2.6    The Agent is not entitled to abdicate any rights from this contract to 3rd parties or use 3rd parties to fulfil its contractual obligations unless specifically agreed to by the Principal in writing. The Agent is expressly not entitled to transfer the representation or selling rights for goods sold in full or partly to any third party. 

       没有委托人的书面同意，代理商不得对第三方放弃本合同的任何权利或者使第三方来履行合同义务。代理商不得将货物的全部或部分代理和出售权利转让给第三方。

3.The Principal’s duties

委托人职责

3.1The Principal shall comply with all applicable regulations or other legal requirements    concerning the manufacture, packaging, packing and delivery of the goods sold.        The Principal shall ensure that the goods sold are properly packed and secured so as    to reach their destination in an undamaged and saleable condition in the ordinary       course. 

   委托人应该遵守关于制造、包装和货物出售的所有的适用法规和其它法律要求。委托人应当确保销售货物妥善包装，并以未受损的出售条件达到目的地。

3.2The Principal shall warrant the goods sold to be of satisfactory quality, and be fit for the purpose; and will comply with any legal or other international and industrial specification agreed for them.

   委托人应当保证出售货物的质量令人满意，并遵照符合它们的任何法律法规或其它国际工业规格。

3.3The Principal shall bear all costs and expenses incurred for the damage caused by the goods sold that does not comply with the specification agreed for them.

委托人应当承担由于出售商品不符合它们所要求的规格而造成的损失所产生的费用。

3.4The Principal shall provide all the technical advice and support to the customers on the goods sold.

委托人应当对销售商品的客户提供技术咨询和支持。

4.Intellectual property & confidentiality

知识产权和保密

4.2    The Agent shall keep confidential any information in relation to the affairs or business or methods of carrying on business or other confidential information of the Principal, and shall not disclose such information or use it for any unauthorised purposes. 

       代理商应当对关于关系事务、商业、业务方法或委托人信息保密，不得披露或者使用此类任何未经授权的信息。

5.Commission

佣金

5.1In consideration of the obligations undertaken by the Agent hereunder, the Principal shall pay the Agent a commission in respect of goods sold by the Principal during the continuance of this Agreement through the efforts of the Agent to customers under the Agent’s charge or customers introduced by the Agent. 

  考虑到代理商的义务，委托人应对代理商支付佣金，用来表示此协议继续执行时对代理商通过不懈努力卖货和代理商给委托人介绍的新客户的尊重。

The commission shall be 5% of the Net Invoice Value actually received by the Principal in respect of such sales, where “Net Invoice Value” means the sales price of the goods (excluding from such sales price all packing, insurance and freight charges) less sales reductions such as discounts, and credit notes, and provided that:

佣金应当遵照销售情况以委托人收到的净金额的5%来支付，这里的“净金额”指货物的销售价格（不包括包装费、保险费和运费）

(a)The Agent shall not be entitled to a commission unless payment is actually received from the customer and only for the amount actually obtained for the order for which commission is due. If bills of exchange are presented, payment is considered as received only when the relevant bill of exchange is honoured.

代理商无权收到佣金除非代理商实际收到了客户支付的货款，佣金是按照订单的实际成交量来支付的。
