    甲乙双方在平等、自愿的基础上,根据《中华人民共和国物权法》、《中华人民共和国合同法》等相关法律法规,就本协议项下共有房产的占有、使用、收益、处分等达成如下协议,以资双方共同信守:                                                                                                                                

    术语解释:                                                                

    本协议中,除非协议文本清楚表明有其它含义,以下名词均为其后注释所确定之含义:                                                                

    1.按揭:指目前中国通行的由购房人将其房屋买卖合同项下之权益质押于按揭银行,或将其所购房屋之所有权抵押于按揭银行,按揭银行将一定数额的款项贷给购房人并以购房人名义支付给房产开发商的一种市场行为。                                                                

    2.按份共有:指多个主体按照一定份额对本协议项下房产共同享有占有、使用、收益、处分的权利。                                                                                                                                                                                                    

    第一条 房产概况

    第二条 价款承担方式

    第三条 房产共有份额                                                                

    1.甲乙双方共同享有本协议项下房产之占有、使用、收益、处分的权利。

    第四条 双方的权利义务                                                                

    1.甲乙双方应当按本协议第二条约定及时支付相应价款。                                                                                                                                    

    2.甲乙双方对本协议项下房产为按份共有,任何一方未经对方同意不得擅自出租、处分共有房产。未经另一共有人同意的任何处分行为均是可撤销行为。                                                                

    3.共有房产为一方经营或居住使用的,另一方可以要求使用方支付一定数额的经济补偿,具体数额及支付方式由甲乙双方另行协商确定。                                                                

    4.共有房产为一方经营或居住使用的,使用方应当妥善保管共有房产,因使用方重大过失导致共有房产损害或灭失的(包含共有房产内装修、装饰物及摆设物品),另一方有权要求相对方予以赔偿。                                                                

    5.共有房产出租给第三方使用的,甲乙双方约定租金按以下   方式收取。                                                                

    a.租金所有权归甲方                                                                

    b.租金所有权归乙方                                                                

    c.租金按约定比例由甲乙双方分别占有,其中甲方   %,乙方   %                                                                

    d.其他方式                                                                                                                                

    6.本协议项下任何一方欲转让其所占份额之房屋产权,另一共有人均享有优先购买权。                                                                

    7.一方主张行使优先购买权时,甲乙双方应当协商确定欲转让份额的房产价值或委托中介机构根据当时市场状况评估决定。                                                                

    8.一方主张行使优先购买权,另一共有人应当积极配合办理房屋产权变更手续。                                                                

    第五条 协议解除                                                                

    1.甲乙双方协商一致可以解除本协议。                                                                

    2.甲乙双方解除本协议时,选择按以下   方式处理共有房产。                                                                

    a.由甲方购买乙方共有份额,甲方取得原共有房产产权                                                                

    b.由乙方购买甲方共有份额,乙方取得原共有房产产权                                                                

    c.转让共有房产产权,所得转让款按甲乙方所占份额分配                                                                

    d.其他方式                                                                                                                                

    第六条 部分无效                                                                

    1.本协议若有任何属于法律规定为违法、无效或不能执行的条款或经法律程序确                                                                                                                                    

    认部分条款无效,不应影响本协议其它条款的合法、有效和可实施性。                                                                

    2.如果本协议的任何条款被确认属于违法或无效条款,或由于法律、规定等情况变化已成为违法或无效条款,双方应善意协商并将其修改为具有相同效力的合法有效条款。                                                                                                                                

    第七条 争议解决方式                                                                

    1.甲乙双方对本协议的效力、履行、解释、终止等存在争议,应通过友好协商解决。                                                                

    2.协商未能解决,任何一方均可以选择以下   方式解决纠纷。                                                                

    a.向共有房产所在地仲裁委员会提起仲裁                                                                

    b.向共有房产所在地有管辖权的人民提起诉讼                                                                                                                                

    第 附则                                                                

    1.本协议各条款标题不应在对本协议进行解释时作为考虑因素。                                                                

    2.除非由甲乙双方书面签署补充协议或补充约定,本协议条款不得更改,任何单方对本协议条款的修改、修订、弃权行为均属无效。                                                                

    3.本协议未尽事宜,甲乙双方可协商作出补充约定,补充约定应采用书面形式且与本协议具有同等法律效力。                                                                

    4.本协议自甲乙双方签字或盖章之日起生效。                                                                

    5.本协议一式两份,甲乙双方各执一份。

    3. 甲方积极配合乙方投资房产的经营管理活动,享有全面的知情权和参与权,必要的时候参与相关的程序,并要保证资金及时到位                                                                                                                                    

    4. 乙方执行共同投资事务所产生的收益归全体共同投资人,所产生的亏损或者民事责任,由共同投资人承担                                                                

    5. 共同投资人可以对乙方执行共同投资事务提出异议。提出异议时,应暂停该项事务的执行。如果发生争议,由全体共同投资人协商决定                                                                

    6. 共同投资的下列事务必须经全体共同投资人同意:                                                                

    2) 以上述股份对外出质;                                                                

    3) 更换事务执行人。                                                                

    四、 利润分享和亏损分担                                                                

    房产投资获利出售后,扣除前条约定的经营管理费用,余下的利润及售出前的租金作为共同分享的利润按投资比例分成                                                                

    房产投资经双方确认认为投资失败,止损售出,则不必扣除管理费用,损失总额由双方按投资比例分担                                                                

    五、 投资的转让                                                                

    1. 共同投资人不得私自转让或者处分共同投资的股份;                                                                

    共同投资人向共同投资人以外的人转让其在共同投资中的全部或部分出资额时,须经全部共同投资人同意;                                                                

    2. 共同投资人之间转让在共同投资中的全部或部分投资额时,应当通知其他共同出资人;                                                                

    3. 共同投资人依法转让其出资额的,在同等条件下,其他共同投资人有优先受让的权利。                                                                

    4. 房产投资获利周期或短或长,为保障收益便于操作,共同投资人房产买入之日起十八个月内,不得转让或撤出其持有的股份及出资额;                                                                

    六、 违约责任                                                                                                                                    

    为保证本协议的实际履行,双方自愿提供其所有的投资额向其他共同投资人提供担保,并承诺在某一方单方违约并造成其他共同投资人损失的情况下,以上述财产向其他共同投资人承担违约责任。                                                                

    七、 其他                                                                

    1. 本协议未尽事宜由共同投资人协商一致后,另行签订补充协议。                                                                

    2. 本协议经全体共同投资人签字盖手印后即时生效。本协议一式份,共同投资人各执一份。

    3、如甲乙双方偿还的银行贷款本息数额与本协议约定不符,则应以各方实际偿还的银行贷款本金数额计算前述比例。                                                                

    第六条 甲乙双方未经任何一方书面同意,不得单独将该房产出租、出借、转让、抵押或设定其他形式的担保保证,不得单独改变该房产的建筑结构、装饰装修及其他附属设施。                                                                

    如发生前款事项,过错一方应负责将该房产恢复原状、维修维护,撤销出租、出借、转让、抵押及其他形式的担保保证并单方承担因此所致各种法律责任。因此给无过错方造成损失的,过错方应当予以赔偿。                                                                

    第七条 如发生但不限于以下情形,甲乙双方应依照本协议书第七条规定的比例确定各自份额:                                                                

    1、自房产证领取之日起甲方在乙方服务期十年,乙方将所拥有的房产份额过户给甲方;                                                                

    2、一方去世确定遗产份额;                                                                

    3、甲乙双方共同出卖该房产后分割所得款项;                                                                

    4、该房产被征收征用拆迁后分割补偿款物;                                                                

    5、该房产被损坏分割所得赔偿款项;                                                                                                                                    

    6、其他涉及分割该房产价值的情形。                                                                

    第 甲方在负担除与该房产无关的个人债务时,负有向债权人明示本协议书的义务,并应取得债权人确认知悉本协议书内容的书面凭证,否则一方因偿还另一方的个人债务给自身利益造成损失的,另一方应当予以赔偿。                                                                

    第九条 本协议书未定事项或约定不明的事项,甲乙双方可协商签订书面补充协议,补充协议为本协议书的附件,构成本协议书的一部分,与本协议书具有同等法律效力。                                                                

    第十条 本协议履行过程中,甲乙双方如发生争议,应当友好协商解决;双方不愿协商或者协商不成的,可向该房产所在地人民提起诉讼解决。                                                                

    第十一条 本协议书签字过程由甲乙双方共同申请公证,并自双方签字按印之日起生效。

    根据兵团农六师中级人民2011年9月9日"(2011)农六法民二初字第012号"《民事调解书》第二项:"李卫东(甲方)出资壹仟万元(1000万元)购买五家渠市大地房地产开发有限公司所持有的不动产--五家渠商贸大厦"的调解确认规定,甲方已获得了五家渠市大地房地产开发有限公司原持有的不动产--五家渠商贸大厦。现甲乙双方经充分协商,同意对该五家渠商贸大厦房产所有权按份共有享有共有权。为此,特签订此《房屋共有协议书》,供双方遵守使用、管理。                                                                

    一、甲乙双方同意,五家渠商贸大厦归属甲乙双方按份享有所有权。其中,甲方享有该商贸大厦57.80%的所有权,乙方享有该商贸大厦42.02%的所有权。即甲方出资占金额57.98%,乙方出资42.02%,甲、乙双方按投资比例,分享利润分担分险。对此约定,双方均无异议,予以确认。此协议签订之日前,乙方已将占商贸大厦资产42.02%的金额全部支付给甲方,后面的投资均是按照甲、乙双方的投资比例进行投资。                                                                

    二、因该商贸大厦在建造、装修中,涉及多部门的流转,至今尚未办理房、地产证。为此,甲乙双方同意,目前暂可不办理房、地产证。若因经营需要或部门要求及其他原因必须办理时,双方同意应当办理房、地产证。房、地产证户主为甲乙双方,分为"主证"和"共有权副证"。为办理房、地产证需支付的各项费用(含有票和税费),均由双方按本协议约定享有的房地产所有权比

    三、甲乙双方同意,该商贸大厦的管理和经营由甲乙双方共同协商决定。                                                                

    四、甲乙双方同意,该商贸大厦在管理和经营中获得的收益在减除支出(含亏损、债务、管理费用、人员工资、社保)后,由双方按本协议约定享有的房地产所有权比例分配。                                                                

    五、为了便于经营和管理该商贸大厦,甲乙双方同意,该商大厦不办理在任何一方的公司或企业名下。若今后办理了房、地产证后,需以该商贸大厦作为抵押物,应当经过双方签字同意。                                                                

    六、无论该商贸大厦是否办理房、地产证,若因经营或投资需要或双方协商同意,需将该商贸大厦转让(出售),均需双方签字同意,并以最高市场价为转让(出售价格)。所获收益双方均按本协议约定享有的房、地产所有权比例分配。                                                                

    七、本协议所约定的各方享有的房、地产所有权均具有继承权。双方同意,另一方在同等条例下具有优先购买权。另一方放弃优先购买权或即不同意购买,也不同意转让(出售),视为同意向双方以外的任何第三人转让(出售)。                                                                

    八、本协议一式两份,双方各持一份,系双方真实意思表示。自双方签字之日生效。
