STANDARD FORM LETTER OF INDEMNITY TO BE GIVEN IN RETURN 

FOR DELIVERING CARGO WITHOUT PRODUCTION OF ORIGINAL BILLS 

OF LADING 

Dear Sirs,

Voyage:    FROM MAPUTO, MOZAMBIQUE TO MAIN PORT(S), CHINA 

Cargo:          PALABORA RSA MAGNETITE IN BULK 55,387.68 WMT

Bill of lading: B/L No.01 ISSUED AT MAPUTO, MOZAMBIQUE, 21/02/2013 

The                   by              and consigned to order for delivery at the port of                            but the bills of lading have not arrived and we.            hereby request you to deliver the said cargo to                     for delivery at the port of             without production of original bills of lading. 

  In consideration of your complying with our above request, we hereby agree as follows: 

1.To indemnify you. your servants and agents and to hold all of you harmless in respect of any liability, loss, damage or expenses of whatsoever nature which you may sustain by reason of delivering the cargo in accordance with our request. 

2. In the event of any proceedings being commenced against you or any of your servants or agents in connection with the delivery of the cargo as aforesaid, to provide you or them on demand with sufficient funds to defend the same. 

3. If, in connection with the delivery of the cargo as aforesaid, the ship, or any other ship or property in the same or associated ownership, management or control, should he arrested or detained or should the arrest or detention thereof be threatened. or should there be any interference in the use or trading of the vessel (whether by virtue of a caveat being entered on the ship’s registry or otherwise howsoever. to provide on demand such bail or other security as may be required to prevent such arrest or detention or to secure the release of such ship or property or to remove such interference and to indemnify you in respect of any liability, loss, damage or expense caused by such arrest or detention or threatened arrest or detention or such interference, whether or not such arrest or detention or threatened arrest or detention or such interference may be justified. 

4. If the place at which we have asked you to make delivery is a bulk liquid or gas terminal of facility, or another ship, lighter or barge, then delivery to such terminal, facility, ship, lighter or barge shall be deemed to be delivery to the party to whom we have requested you to make such delivery. 

5. As soon as all original Bills of Lading for the above cargo shall have come into our possession, to deliver the same to you. or otherwise to cause all original Bills of Lading w be delivered to you. Where upon our liability hereunder shall cease. 

6. The liability of each and every person under this indemnity shall be joint and several and shall not he conditional upon your proceeding first against any person, whether or not such person is puny to or liable wider this indemnity. 

7. The indemnity shall be governed by and construed In accordance with English law and each and every person liable under this indemnity shall at your request submit to the jurisdiction oldie High Court of Justice of England.

上述货物有上面所提到的货船运输         装船港      但是正本提单还没有收到并且我们，       ，希望贵方能将货物给与           卸货港为       （无货物正本提单）。

考虑到贵方要同意我们以上的要求，我方承诺如下：

1. 我方保证贵公司不因题述事由而遭受任何性质的损失、承担任何支任。

2．如因题述事由而使贵方卷入任何形式的麻烦时．我司保证提供充分的费用和支持来帮助贵方解决问题。

3．如贵公司的船舶或者财产因题述事由遭致扣押、滞留、或者受到此种威胁时．我司保证为贵公司及时提供所需的担保金或者其它形式的担保．以保障贵公司的权益不受损害：此外．不论前述扣押、滞留是否合理．我司都将保证承担贵公司因此遭受的任何损失及相关费用。

4．如果我们要求贵方交货的地点是散装液体、气体接收设施，或者是其他的船舰、驳船．那么我就认定货物抵达散装液体、气体接收设施，或者是其他的船舰、驳船就是我们所需要贵方运送的目的地：

5．一旦上面所提到货物的所有的正本提单由我方获得，或因为某种原因由贵方得到，那么我们因为此保函所担负的责任将即时终止。

6．对此保函承担责任的每个和所有人的责任都是联合并比统一的．不能因为执行过程中贵方认定的条件来针对任意责任全体的单个个体，不管此人是部分还是完全对此事件承担责任。

7．本担保函将根据英国有关法律进行解释，任何本担保函项下的纠纷提交英国高等进行裁决，即使在权利人损失尚未完全发生，只要权利人有合理的理由认为会发生索赔或损失的，就有权提出仲裁请求并进行财产保全措施，必要时仲裁机构有权对无单放货引起的责任进行预决。
