经双方协商同意按下列条款买方向卖方购买货物如下：

This contract is made by and between the Buyer and the Seller; whereby the Buyer agree to buy and the Seller agree to sell the undermentioned commodity according to the terms and conditions stipulated below:

1.本合同依据国际贸易术语解释通则2000版本之 CIP   条款订立。

This contract is in terms of   CIP   of incoterms 2000.

3.包装：适合国际运输要求

PACKING: Suitable for International Transportation

货物包装必须坚固，适合海陆空长途运输及气候变化，防潮、防震等。如因包装造成的一切损失，概由卖方负责赔偿。箱内必须装进一整套的有关操作和技术说明书。

The Sellers shall pack the commodity in strong wooden cases(s) or in carton(s) suitable for long distance ocean/parcel post/air freight transportation and the change of climate, well protected against moisture and shock .The Sellers shall be liable for any damages caused to the commodity as result of improper packing. One full set of service and operation instructions concerned shall be enclosed in the case(s).

4.装运唛头：    卖方应在每件货物上用不掉色的油墨清晰地刷上合约号、毛重、净重、包装顺序号、目的港、"防潮"、

shipping mark "小心轻放"、"此面向上"等字样，装运唛头等。

The Sellers shall mark on each package with fadeless paint the contract number, gross Weight, net weight, serial number of package port of destination and the wordings: 

"keepaway from moisture", "handle with care", "this side UP”, etc. and the shipping mark.

5.装运时间：收到90%T/T预付后60天内发货

TIME OF SHIPMENT: Within 60 DAYS upon RECEIPT OF THE 90% contract value by T/T in advance

 6.装运口岸：  欧洲主要空港

PORT OF LOADING:   MAIN AIRPORT IN EUROPE

7.到货口岸：北京机场

PORT OF DESTINATION:BEIJING AIRPORT

8.保险：由卖方按金额的110%投保一切险和战争险；

INSURANCE:   To be effected by the Seller for 110% of Invoice Value against ALL RISKS and War RISK；

9.卖方负责免费系统集成，上门安装调试

  The seller shall have responsibility for free system integration, setting-up and debugging by house call.

10.付款条件：海关免表出来后电汇预付90%货款，到货后凭学校验收合格证明电汇付10%尾款,

PAYMENT:  TT 90% advance payment after get the tax exemption certificate , pay 10% of the balance due after the arrival of their acceptance certificates.

11.质保：卖方所提供的设备上门维修保质期为：最终用户签订验收报告后_12_个月内，并负责终身维护。

.Warranty：  The guarantee period, which is arrival-repair for the Buyer, shall be within 12   months after the Inspection and Acceptance Report is signed by the end user,  while the Seller is responsible to maintain forever.

12装运通知：货物装运后，卖方须立即以传真将合同号码、品名、规格、数量、毛重、金额、装运口岸、发货日期通知买方和收货单位，并传真给买方全套单据。如果卖方没有及时电告装运，使买方不能及时准备接货，由此发生的一切损失应由卖方负责赔偿。空运运单得通知人必须为买方。

The Sellers shall, immediately upon the completion of the loading of the goods, advise by fax the Buyers of the contract number commodity, specifications quantity, gross weight, invoice value, port of shipment and date of shipment，and full set of documents. In case the buyers fail to arrange collecting the commodity in time due to the Sellers not having cabled in time, all losses shall be borne by the Sellers. Notify of the Air Waybill must show the buyer’s name.

13.品质保证和检验索赔：

guarantee of quality and claims:

卖方保证提供的产品是以合格的材料、一等的工艺制造的，产品是崭新的和未使用过的，原装产品，其品质、规格完全符合合同要求及出厂要求。货到目的港后，由当地中国商品检验局进行复检，如发现品质、规格或数量不符合合同的规定，买方有权在卸货后90天内，根据中华人民共和国商品检验局出具的检验证书向卖方提出索赔（属于保险公司或运输公司负责赔偿的除外）。

The Seller guarantee that the commodity hereof is made of the best materials with first class workmanship, new and unused and complies in all respects with the quality and specification stipulated in this contract and measure up to the leaving factory standard.After arrival of the goods at the port of destination, should the quality, specifications or quantity of goods be found not in conformity with the stipulations of the contract (except those claims for which the insurance company or the transportation company are liable) The Buyer shall, on the strength of the inspection certificate issued by China Commodity Inspection Bureau, have the right to claim for free replacement with new goods, replenishment of shortage, or reduction of price.

14．不可抗力：

force majeure: 

由于人力不可抗拒的事故使卖方不能在合同规定期限内交货或者不能交货，卖方不负责任。但卖方必须立即以电报通知买方，并以挂号函向买方提供有关机关或商会出具的证明，以证明事故的存在。由于人力不可抗拒事故使交货延期120天以上时，买方有权撤消合同。卖方不能取得出口许可证不得作为不可抗力。

In case of Force Majeure the Sellers shall not be held responsible for delay in delivery or non-delivery of the goods but shall notify immediately the Buyers by cable and deliver to the Buyers by registered mail a certificate issued by government authorities or Chamber of Commerce as evidence thereof. If the shipment is delayed over 120 days as the consequence of the said Force Majeure, The Buyers shall have the right to cancel this contract. Sellers' inability in obtaining export license shall not be considered as Force Majeure.

15．延期交货和罚款：

delayed delivery and penalty:

除本合同（14）条人力不可抗拒原因外，如卖方不能如期交货，完成产品的安装调试，使产品正常使用，甲方有权从合同款中扣除违约赔偿金，罚款率为每周按货款总额的5‰. 罚款总额不超过合同金额的5%.

Should the Sellers fail to effect delivery on time as stipulated in this Contract owing to causes other than Force Majeure as provided for in Clause (14) of this Contract, the Buyers shall agree to postpone delivery on payment of penalty to the Buyers. Penalty shall be charged at the rate of 5‰ of the total value per one week, The total penalty shoud not exceed 5% of the contract value.

16．仲裁：

arbitration:

一切因执行本合同或与本合同有关的争执，双方应通过友好方式协商解决。如经协商不能得到解决时，应提交北京中国国际贸易促进委员会对外贸易仲裁委员会按照中国国际贸易促进委员会对外贸易仲裁委员会仲裁程序暂行规则进行仲裁。该裁决为终局裁决，对双方均有约束力。仲裁费用除仲裁委员会另有决定外，应由败诉一方负担。

All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. If no settlement can be reached the case in dispute shall then be submitted for arbitration to the Foreign Trade Arbitration Commission of the China Council for the Promotion of the International Trade in accordance with Provisional Rules of Procedure of the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade. The decision made by the Commission shall be accepted as final and binding upon both parties. The fees for arbitration shall be borne by the losing party unless otherwise awarded by the Commission.

17．合同的条款以中文为主，英文作为参考作用，中文条款具有法律效应。

The contract in Chinese are legally effective.

18．本合同一式叁份.
